• Technical issues or system failures
• Third-party service disruptions (Binance, internet providers, etc.)
• Force majeure events beyond our control

• You have sufficient knowledge and experience to trade futures

4. Trading Risks & Disclaimers

We make absolutely NO representations, warranties, or guarantees regarding:

• Profitability of trades executed using the Service
• Success rates or win rates
• Trading performance or outcomes
• Return on investment (ROI)
• Any specific financial results

Past performance, whether of the Service, other users, or historical examples, does NOT indicate or guarantee future results.

4.2 Market Risks

You acknowledge that cryptocurrency markets are subject to:

• Extreme Volatility: Prices can move dramatically in short periods
• Liquidity Risks: Difficulty exiting positions during high volatility
• Slippage: Executed prices may differ from expected prices
• Gap Risk: Prices can gap past stop-loss orders
• Market Manipulation: Pump and dump schemes, whale manipulation
• Regulatory Changes: Sudden regulatory actions affecting markets

5. Subscription & Payments

5.1 Subscription Plans

We offer the following subscription plans:

• Monthly Plan: Billed monthly at the current monthly rate
• Annual Plan: Billed annually at the current annual rate

Subscription fees are subject to change. We will notify you of price changes at least 30 days in advance.

5.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor:

• We do not store your credit card information on our servers
• Payment data is encrypted and processed by Stripe
• You agree to Stripe's Terms of Service
• Valid payment method required for subscription activation

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel:

• Monthly subscriptions renew monthly
• Annual subscriptions renew annually
• Your payment method will be charged automatically
• You will receive email notification before each renewal

5.4 Cancellation Policy

You may cancel your subscription at any time:

• Cancel through the Stripe Customer Portal accessible from your profile
• Cancellation takes effect at the end of the current billing period
• You retain access to the Service until the end of the paid period
• No refunds for partial billing periods

5.5 Refund Policy

Refunds are handled as follows:

• Monthly Subscriptions: Pro-rated refunds for immediate cancellations
• Annual Subscriptions: Pro-rated refunds for immediate cancellations
• Plan Changes: Credits/charges adjusted based on timing
• Refunds processed within 7-10 business days
• We reserve the right to deny refunds for Terms violations

5.6 Failed Payments

If a payment fails:

• You will receive email notification
• Your account status will be marked as "past due"
• You will have an opportunity to update your payment method
• Access may be suspended if payment is not received
• Account may be terminated after repeated payment failures

5.7 Taxes

You are responsible for any applicable taxes related to your subscription. Prices shown may not include sales tax, VAT, or other taxes required in your jurisdiction.

6. API Key Usage

6.1 Grant of Permission

By providing your Binance API keys to the Service, you grant us permission to:

• Access your Binance account via the API
• Execute trades on your behalf as instructed by you
• Retrieve account information and trading history
• Monitor positions and orders

6.2 Security Measures

We implement industry-standard security for your API keys:

• AES-256-CBC Encryption: Military-grade encryption for stored API keys
• Secure Storage: Encrypted database with access controls
• No Plain Text: API keys never stored or transmitted in plain text
• Limited Access: Only necessary systems can access encrypted keys

6.3 Your Responsibility

6.4 Revoking Access

You may revoke our access to your API keys at any time by:

• Removing your API keys from your account settings
• Deleting the API keys in your Binance account
• Contacting us to request API key deletion

Revoking API access will prevent the Service from functioning but will not cancel your subscription.

6.5 No Liability for API Issues

We are not liable for any issues arising from:

• Binance API downtime or errors
• API rate limiting or restrictions
• Changes to Binance API functionality
• Your misconfiguration of API permissions
• Suspension or termination of your Binance account

7. Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

7.1 Illegal Activities

• Using the Service for any illegal purpose
• Violating any laws or regulations in your jurisdiction
• Money laundering or financing illegal activities
• Market manipulation, wash trading, or pump-and-dump schemes
• Trading on insider information

7.2 Terms Violations

• Violating Binance's Terms of Service
• Using the Service in ways prohibited by these Terms
• Circumventing any technical limitations or security measures
• Attempting to gain unauthorized access to systems or accounts

7.3 Account Misuse

• Sharing your account credentials with others
• Creating multiple accounts to circumvent restrictions
• Impersonating others or providing false information
• Using automated bots or scripts without authorization

7.4 Technical Violations

• Reverse engineering, decompiling, or disassembling the Service
• Attempting to discover source code or algorithms
• Exploiting bugs, vulnerabilities, or glitches
• Introducing viruses, malware, or harmful code
• Overloading or interfering with Service infrastructure

7.5 Consequences of Violations

Violation of these prohibitions may result in:

• Immediate account suspension or termination
• Forfeiture of subscription fees without refund
• Legal action and pursuit of damages
• Reporting to law enforcement if applicable
• Permanent ban from the Service

8. Intellectual Property

8.1 Ownership

TunaLabs LLC owns all rights, title, and interest in and to the Service, including:

• Software code, algorithms, and architecture
• User interface designs and layouts
• Trademarks, logos, and branding ("Semi Auto Trade Bot")
• Documentation and instructional materials
• All related intellectual property rights

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for personal trading purposes
• Use the Service solely as intended and documented

This license does NOT include any right to:

• Modify, copy, or create derivative works
• Reverse engineer or attempt to extract source code
• Resell, redistribute, or sublicense the Service
• Remove or alter any proprietary notices
• Use our trademarks or branding without permission

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

9. Limitation of Liability

We are NOT liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

We are NOT liable for any issues, losses, or damages arising from:

• Binance exchange issues, outages, or errors
• Stripe payment processing problems
• SendGrid email delivery failures
• Internet service provider issues
• Any other third-party service failures

9.5 Technical Issues

We are NOT liable for losses arising from:

• Software bugs, glitches, or errors
• Service downtime or unavailability
• Delayed or failed order execution
• Data loss or corruption
• Security breaches (subject to Section 9.6)
• Your internet connectivity issues

9.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

• Natural disasters (earthquakes, floods, etc.)
• War, terrorism, or civil unrest
• Government actions or regulatory changes
• Internet or telecommunications failures
• Power outages or equipment failures
• Pandemics or public health emergencies

9.7 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

• Any and all trading losses you incur
• Your trading decisions and strategies
• Claims arising from your trades or market activities
• Your use of leverage or margin
• Liquidations or margin calls on your account

• Your violation of these Terms of Service
• Your violation of any applicable laws or regulations
• Your violation of third-party rights
• Your breach of representations or warranties

10.3 API Key Issues

• Unauthorized use of your API keys
• Your misconfiguration of API permissions
• Losses arising from API key compromise
• Claims by Binance related to your API usage

10.4 Third-Party Claims

• Claims by other users affected by your actions
• Claims by regulators or government agencies
• Claims arising from your violation of exchange terms
• Any other third-party claims related to your use of the Service

10.5 Defense and Settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You may not settle any claim without our prior written consent.

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through the Stripe Customer Portal
• Contacting us at tuna@semiautotradebot.app
• Requesting account deletion (see our Privacy Policy)

11.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, for:

• Violation of these Terms of Service
• Suspected fraudulent, illegal, or abusive activity
• Repeated payment failures
• Violation of third-party terms (e.g., Binance Terms)
• Any conduct that we deem harmful to the Service or other users
• Any reason at our sole discretion

11.3 Effect of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• Your license to use the Service terminates
• We will delete or anonymize your personal data (subject to legal retention requirements)
• Your encrypted API keys will be deleted from our systems
• You remain responsible for all charges incurred before termination

11.4 Survival

12. Third-Party Services

12.1 Binance Integration

The Service integrates with Binance exchange:

• You must have a Binance account to use the Service
• You must comply with Binance's Terms of Service
• We have no control over Binance's operations
• Binance may change, suspend, or terminate its API at any time
• We are not responsible for Binance-related issues

• Your payment data is handled by Stripe, not us
• We do not have access to your full credit card information

Our integration with third-party services does not constitute an endorsement. We make no representations or warranties regarding third-party services.

12.4 Changes to Third-Party Services

13. Jurisdiction & Disputes

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

13.2 Venue

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of such courts.

13.3 Dispute Resolution

Before initiating any formal legal action, you agree to first contact us at tuna@semiautotradebot.app to attempt to resolve the dispute informally.

13.4 Limitations Period

You agree that any claim or cause of action arising out of these Terms or the Service must be filed within one (1) year after the claim or cause of action arose, or it shall be forever barred.

13.5 Waiver of Class Actions

To the extent permitted by law, you waive any right to pursue disputes on a class-action basis. All disputes must be brought in an individual capacity and not as part of any class or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TunaLabs LLC regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

14.5 Relationship

No agency, partnership, joint venture, or employment relationship is created between you and TunaLabs LLC as a result of these Terms or your use of the Service.
